Terms and Conditions

2025 AMAZON ADS INNOVATION CHALLENGE

By clicking "I Accept," I confirm that I am authorized to accept these Terms on behalf of myself and the enterprise participating in the Challenge. Acceptance of these Terms are required to participate in the Challenge and they are effective as of the date accepted.

These Terms require acceptance of and incorporate the Amazon Advertising API License Agreement and Amazon Conditions of Use, including dispute resolution and arbitration provisions provided therein.

GENERAL

  1. The Challenge is open to registered, in-person attendees of the 2025 Amazon Ads Developer Summit on August 5 and 6, 2025 (the "Summit") in New York City ("Participants").
  2. Participation in the Challenge requires an opt-in at the Summit registration page. Registration opens June 2, 2025. After opting-in, entrants must accept these Terms, which will be sent via email. Submissions must be sent to the official portal using the submission template (to be provided) no later than midnight Pacific time July 28, 2025.
  3. Challenge finalists will be notified via email no later than midnight Pacific time August 1, 2025. Finalists must agree (via reply email) to present their solution in-person in front of judges and audience at the Summit. If unable to present in-person at the Summit, a finalist will be disqualified and unable to win a prize. A maximum of three finalists will present on-stage during the Summit.
  4. The invitation to be a Challenge finalist is non-transferable, not for resale and not redeemable for cash.
  5. Amazon Ads reserves the right, at its sole discretion, to terminate or modify these Terms at any time.
  6. The Sponsor of the Challenge is Amazon Advertising LLC located at 410 Terry Avenue North, Seattle, WA 98109 ("Amazon Ads"). Amazon Ads reserves the right to void your participation in the Challenge in cases of fraud, mistake, failure to satisfy any of these Terms or if prohibited by law.

SUBMISSION REQUIREMENTS

  1. Submissions and supporting documentation must be in English.
  2. Only one submission per participating developer company.
  3. Entries must be original and not infringe on any third-party rights.
  4. Submissions must adhere to the Amazon Ads API License Agreement: https://advertising.amazon.com/API/docs/license-agreement
  5. Entries should showcase a fully-functioning application that:
    1. Solves real customer advertising challenges at scale
    2. Leverages Amazon Ads APIs or Gen AI/ML services
    3. Demonstrates a complete end-to-end workflow
    4. Is capable of handling real-world workloads
    5. Operates with proper error handling
    6. Includes security controls
    7. Features monitoring capabilities
  6. Provide evidence of solution viability for your business through either documented active customer usage or a clear, comprehensive go-to-market strategy.
  7. Required Technical Components:
    1. Integration with Amazon Ads APIs
    2. Implementation of Gen AI/ML services
    3. Scalable architecture design
  8. Technical Documentation must include:
    1. Problem statement and market opportunity
    2. Comprehensive solution overview
    3. Architecture diagram
    4. This does not require disclosure of algorithms, detailed system architecture, or internal data processing methods
    5. Implementation approach
    6. Explanation of how the solution addresses specific advertising challenges
    7. Description of Amazon Ads APIs and services integration
    8. Proposed success metrics
    9. Customer Voice of Customer (VOC) measurement approach

JUDGING CRITERIA

  1. Submissions will be screened for requirements and entrants are subject to verification. Amazon Ads, at its own discretion, may disqualify submissions and/or entrants it deems do not meet requirements.
  2. At least five experts from Amazon Ads and AWS will judge submissions on the following criteria:
    1. Business Impact: Demonstrated business value through measurable outcomes, and forecasted customer adoption
    2. Innovation: Creative use of AI/ML capabilities with Amazon Ads APIs to solve advertising challenges
    3. Scalability: Ability to scale across full funnel and open internet-based advertising needs
    4. Technical Implementation: Architecture design and solution implementation quality. Focus on latest APIs when available
  3. Each submission will be ranked on a scale of 1 to 5, the submission with the highest score will be selected as the winner.
  4. Tiebreaker: In the event of a tie, the entry with the higher score in "technical implementation" will be selected as the winner. If the entries are still tied after the tiebreaker, then the tied entries will be re-ranked on a scale of 1 to 10 and this process will be repeated with larger scales (e.g., 1 to 100) until there is a winner.

PRIZES

1st Place: $1000 USD in AWS credits, marketing promotion (winner badge on partner directory profile, video promotion in "In the Know" on the Amazon Ads Partners LinkedIn Account, case study featured on advertising.amazon.com).

2nd and 3rd Place: $500 USD each in AWS credits, marketing promotion (finalist badge on partner directory profile, case study feature on advertising.amazon.com).

All prizes are subject to the following eligibility requirements:

AWS Credits.

  • To receive AWS Credits, winners MUST have an active AWS account in good standing at time of prize acceptance. Account must be in good standing, defined as: i) No outstanding unpaid balances, ii) No violation of AWS Acceptable Use Policy, iii) Compliance with AWS Customer Agreement, iv) Compliance with AWS service terms, and v) Valid payment method on file
  • Funds will be administered through regional AWS offices into participants accounts within 90 days. Credits will be: i) Issued in USD equivalent, ii) Redeemable in all AWS regions where services are available, iii) Subject to regional service availability, iv) Valid across global AWS infrastructure, and v) Subject to AWS Promotional Credit Terms and Conditions
  • Credits cannot be: i) Transferred to other AWS accounts, ii) Converted to cash, iii) Sold or bartered, or iv) Combined with other promotional offers.
  • Note: Winners without an active AWS account or not in good standing will have 30 days to create and validate an AWS account, or resolve any outstanding account issues. Failure to meet these requirements within 90 days will result in prize forfeiture.

Partner Directory Badging Requirements and Eligibility.

  • Only current Amazon Ads Partners with an active Partner Network account and partner directory profile are eligible for a badge.
  • Partners must be in good standing to retain badge.
  • Amazon Ads reserves the right to award, modify, or remove any contest-related badges or recognitions on partner directory profiles at any time. The awarding, retention, and removal of badges are subject to the Amazon Ads Partner Network policies, terms and conditions.
  • Participants acknowledge that any contest-related badges or recognitions do not constitute a permanent entitlement and may be revoked or modified at Amazon's sole discretion.
  • The removal or modification of a badge does not necessarily reflect on the quality of the partner's solution or their standing with Amazon Ads.
  • Finalists may be granted a revocable (for any reason), non-exclusive, non-transferable, non-assignable limited license, without the right to grant sublicenses, to use the badge, conditional upon: (1) compliance with our Trademark Guidelines; and (2) usage of the badge will be solely for purposes of advertising that your Entry received an Amazon Ads Partner Award, such as by linking your Award Logo to an Amazon Ads website or to your specific directory page within the Partner Network.

MARKETING RIGHTS

Marketing Rights and Promotional Use.

Amazon Ads reserves the right to alter the timing, placement, and type of marketing promotion following the conclusion of this Challenge. This includes, but is not limited to, the right to:

  1. Feature winning solutions in case studies, blog posts, and other marketing materials
  2. Use participants' company names, logo and solution descriptions in promotional content.
  3. Showcase winning solutions at future Amazon events and conferences
  4. Modify or adapt promotional content as needed for different marketing channels and audience

Content Usage Agreement.

By participating in this Challenge, entrants agree to grant Amazon Ads a non-exclusive, royalty-free, worldwide, perpetual license to:

  1. Host and display their solution on the Amazon Ads website
  2. Use, reproduce, distribute, and publicly display any submitted materials, including but not limited to solution descriptions, screenshots, and demo videos
  3. Create derivative works based on the submitted materials for promotional and marketing purposes
  4. Use the participant's company name and logo in connection with such promotional activities.

Participant Responsibilities.

  1. Participants warrant that they have the right to grant the license and that their submissions do not infringe on any third-party rights. Participants agree to provide reasonable assistance in the creation of promotional materials, including providing high-resolution logos and approving case study content. Any confidential or proprietary information should be clearly marked as such, and Amazon Ads will take reasonable measures to protect such information.
  2. Opt-Out and Modification: Participants may request modifications to how their solution is presented in promotional materials. In extraordinary circumstances, participants may request to opt-out of certain promotional activities.
  3. No Guarantee of Promotion: While Amazon Ads intends to promote winning solutions, participation in the Challenge does not guarantee any specific level or type of promotional activity except as specifically provided for in the Prizes section of these Terms.
  4. Duration: Unless otherwise agreed in writing, Amazon Ads' right to use submitted materials for promotional purposes shall extend indefinitely.

INTELLECTUAL PROPERTY

Ownership of Intellectual Property.

Participants retain all intellectual property rights to their submitted solutions, including but not limited to patents, copyrights, trademarks, and trade secrets Nothing in this Challenge shall be construed as transferring ownership of any intellectual property from the participant to Amazon Ads or any third party.

Open Source Considerations

Open source solutions are welcome but not required for the challenge. Participants may choose to make their independently written code open source. Any open source implementation must: i) Not include Amazon's proprietary materials, ii) Respect Amazon's intellectual property rights, iii) Comply with applicable open source licensing requirements.

Amazon retains all intellectual property rights related to

  1. Amazon Marketing Stream
  2. AWS services (i.e. AWS Bedrock, Amazon Q, Sagemaker)
  3. Amazon APIs
  4. Datasets
  5. Other materials provided by Amazon Ads in connection with the Developer Summit

Amazon reserves the right to:

  1. Implement similar ideas in the future
  2. Develop similar solutions or features
  3. Use similar concepts without restriction or obligation
  4. Pursue independent development in related areas

Such implementation does not create any obligation to participants.

GENERAL CONDITIONS

WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CHALLENGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLEGNGE MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, AMAZON ADS RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Amazon Ads reserves the right at their sole discretion to disqualify any individual they find to be attempting to tamper with or undermine the entry process and/or the legitimate operation of the Challenge; to violate these Terms; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person.

If, for any reason, the Challenge is not capable of running as planned, Amazon Ads may, in its discretion, void any suspect submissions and (a) cancel or terminate the Challenge (or any portion thereof); (b) modify or suspend the Challenge to address the impairment and then resume the Challenge in a manner that best conforms to the spirit of these Terms; and/or (c) award the Prize(s) from among the eligible, non-suspect submissions received up to the time of the impairment.

LIMITATION OF LIABILITY; INDEMNIFICATION; DISPUTE RESOLUTION AND GOVERNING LAW

Limitation of Liability

Amazon Only: In no event will (a) Amazon Ads or any Amazon entity be liable for any loss of data, loss of profits, cost of cover or other special, incidental, consequential, indirect, punitive, exemplary or reliance damages arising from or in relation to these Terms, however caused and regardless of theory of liability, even if Amazon has been advised of the possibility of such damages. Further, our aggregate liability arising from or related to this Challenge and your submission will not exceed one hundred U.S. dollars ($100).

Indemnity

Each party (as applicable, the "Indemnifying Party") will defend, indemnify, and hold harmless the other party (the "Indemnified Party") and its affiliates, and their respective directors, officers, employees, representatives, from and against any loss, damage, judgment, settlement, expense, interest, and any other liability (including reasonable attorneys' fees and costs) related to or arising out of any third party allegation, claim, lawsuit, or proceeding (a "Claim") to the extent such Claim is based on:

  • Law: any failure of a party to comply with all applicable laws in the submission of its Challenge Submission.
  • Violation of IP: the violation of any third-party Intellectual Property Right by the Indemnifying Party's service, technology, website, content, materials, etc., but excluding any technology, materials, content, etc. provided by the Indemnified Party.

Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of New York without reference to its conflict of law rules. Amazon Ads failure to enforce any term of these Terms shall not constitute a waiver of that provision. Unless otherwise agreed by the parties, any dispute arising out of or relating to these Terms will be resolved by arbitration administered by the American Arbitration Association ("AAA") in accordance with the AAA Commercial Rules, and judgment on the arbitral award may be entered in any court having jurisdiction. The arbitration will take place in New York County, New York. There will be three arbitrators. The fees and expenses of the arbitrators and the administering authority, if any, will be paid in equal proportion by the parties. The parties will pay their own attorneys' fees and expenses.
